These Terms of Use and Sale (“Terms”) govern access to medvinciresearch.com, related pages and services (collectively, the “Site”), and purchases from Medvinci Research LLC (“Medvinci,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing the Site, creating an account, checking a box indicating agreement, or submitting an order, you agree to these Terms. If you do not agree, do not use the Site or purchase Products.

1. Scope and Authority

If you use the Site or place an order on behalf of a company, laboratory, university, institution, government agency, or other organization, you represent that you have authority to bind that organization. In these Terms, “you” includes both you and that organization.

Approved wholesale purchases may also be governed by separate written Wholesale Terms. A signed order-specific or wholesale agreement controls over these Terms only to the extent of a direct conflict concerning that transaction.

Our Privacy Policy is a separate notice describing our data practices. Agreement to these Terms does not constitute blanket consent to data processing for which separate consent is legally required.

2. Eligibility and Qualified Purchasers

You may use the Site and purchase products only if:

  1. You are at least 21 years old and legally capable of entering a binding agreement;
  2. You are acting in a bona fide professional, institutional, commercial, academic, or governmental research capacity;
  3. You possess, or are supervised by personnel possessing, the training and expertise necessary to handle the materials ordered;
  4. You have access to a properly equipped and controlled laboratory or research facility;
  5. You are purchasing solely for a documented, lawful research purpose and not for personal, household, patient, wellness, cosmetic, bodybuilding, or veterinary use; and
  6. Your purchase, possession, handling, research, transfer, and disposal of the materials are lawful in every applicable jurisdiction.

Products are not offered to individuals seeking personal or household use. An age confirmation alone does not establish purchaser eligibility.

We may request organizational credentials, professional qualifications, research-purpose information, proof of identity, payment verification, or other documentation before accepting or fulfilling an order.

3. Research Use Only

Every product, sample, or material offered under these Terms (“Product”) is offered solely for lawful, non-clinical laboratory research that does not involve administration to living humans or animals.

Products may not be:

  • Ingested, injected, inhaled, implanted, applied topically, or administered through any other route to a human or animal;
  • Used for diagnosis, treatment, mitigation, cure, prevention, patient care, veterinary care, or alteration of the structure or function of a human or animal body;
  • Used as or incorporated into a drug, biologic, food, dietary supplement, cosmetic, medical device, veterinary product, or household product;
  • Compounded, dispensed, prescribed, or supplied through a pharmacy, clinic, medical office, telehealth service, wellness practice, or veterinary practice;
  • Used in a clinical trial, patient-specific service, personal experiment, or consumer application;
  • Prepared, packaged, or promoted for human or animal administration;
  • Resold, redistributed, transferred, or supplied to an undisclosed end user without our prior written authorization; or
  • Used for any unlawful, unsafe, deceptive, or unauthorized purpose.

There is no exception for physicians, pharmacists, veterinarians, healthcare professionals, or holders of professional licenses. A professional license does not authorize clinical, patient, personal, or veterinary use of Products offered under these Terms.

You must not purchase Products on behalf of another person who intends a prohibited use.

4. Verification and Order Refusal

We may review purchaser identity, qualifications, intended end use, order quantity, shipping destination, communications, payment information, and other relevant circumstances.

We may refuse, limit, place on hold, or cancel any order when we reasonably suspect:

  • Personal, clinical, veterinary, or other prohibited use;
  • Resale, diversion, or an undisclosed end user;
  • False or incomplete purchaser information;
  • Fraud, unauthorized payment, sanctions, or export-control concerns;
  • An unlawful transaction; or
  • A risk to Medvinci, the public, a carrier, or another party.

If we cancel a paid order before shipment, we will refund the amount charged for the canceled Products to the original payment method, subject to applicable law.

5. No Medical or Veterinary Services

Medvinci is not a healthcare provider, pharmacy, telehealth provider, veterinary provider, compounding facility, or patient-care service.

We do not:

  • Diagnose or treat any condition;
  • Provide medical or veterinary advice;
  • Issue or facilitate prescriptions;
  • Establish provider-patient relationships;
  • Recommend dosing, administration, or clinical protocols; or
  • Determine whether a Product is safe or appropriate for a person or animal.

Site content, customer-support communications, product names, scientific references, external links, and laboratory records must not be interpreted as medical or veterinary advice or as a recommendation for human or animal use.

If you are seeking a product for diagnosis, treatment, personal use, or administration to a human or animal, do not purchase from Medvinci.

6. Purchaser Responsibilities

You are solely responsible for:

  • Establishing a lawful research purpose before ordering;
  • Obtaining all required licenses, registrations, permits, institutional approvals, and authorizations;
  • Using appropriately trained personnel, facilities, containment, equipment, and protective measures;
  • Reviewing available labels, handling information, and safety data before opening or using a Product;
  • Maintaining secure storage and preventing unauthorized access or diversion;
  • Creating appropriate research, inventory, incident, and disposal records;
  • Complying with applicable environmental, occupational-safety, transportation, import, export, and waste-disposal requirements; and
  • Reporting incidents or complying with a lawful recall, hold, or withdrawal notice.

Our acceptance of an order does not constitute legal, regulatory, safety, or scientific approval of your proposed research.

7. Product Information

Product descriptions and other Site content are provided for catalog identification and commercial information. They are not laboratory protocols, clinical guidance, or representations concerning effects in humans or animals.

Images may show representative packaging and may not depict the exact delivered lot. Packaging may change without notice when the change does not materially alter the Product ordered.

We attempt to present accurate catalog information but may correct typographical, scientific, pricing, availability, or other errors. If we discover a material error affecting an unshipped order, we may contact you for instructions or cancel and refund the affected item.

No Site statement creates a company-wide or batch-wide promise concerning purity, identity, sterility, facility status, manufacturing standards, or testing unless the statement is expressly tied to the exact Product, lot, method, date, and reported result and is supported by documentation.

8. Certificates and Laboratory Records

When a Certificate of Analysis, laboratory report, or external record is available, it applies only to the sample, material, lot or batch, method, date, and result expressly identified in that record.

A purchaser must confirm that the Product and lot received match the record before relying on it.

A certificate or laboratory result:

  • Does not establish safety for humans or animals;
  • Does not establish clinical efficacy or suitability;
  • Does not authorize administration, diagnosis, treatment, compounding, or dispensing;
  • Does not establish sterility unless a specifically identified and validated sterility test reports that result;
  • Does not establish regulatory approval;
  • Does not necessarily establish the attributes of every unit or another lot; and
  • Must not be altered, separated from its identifying information, or used to market another product.

The terms “external laboratory” or similar wording do not represent financial or organizational independence unless that independence is expressly stated and documented.

9. Orders and Acceptance

Submitting an order is an offer to purchase under these Terms. An automated order acknowledgment only confirms receipt; it does not constitute acceptance.

We accept an order when we send an express acceptance or shipping confirmation. We may reject or cancel an order before acceptance because of eligibility, availability, quantity, pricing errors, legal restrictions, payment issues, suspected misuse, or other legitimate business reasons.

We may establish quantity limits or require separate wholesale approval for high-volume orders.

If part of an order is unavailable, we will not substitute a materially different Product without your agreement.

10. Prices, Taxes, and Payment

Prices, shipping charges, taxes, discounts, and the total amount due will be shown before order submission. You authorize us and our payment processors to verify, preauthorize, and charge your selected payment method for the amount presented.

You are responsible for applicable taxes, duties, bank fees, and other charges unless the checkout expressly states otherwise.

Payment processing may be performed by external providers under their own terms and privacy notices.

If you believe a charge is incorrect, please contact us promptly so we can investigate. This request does not limit any chargeback, billing-error, or other right that cannot legally be waived.

11. Promotions

Promotional codes and offers are governed by the specific terms presented with the promotion, including its start and end time, time zone, eligible Products, exclusions, minimum purchase, shipping limitations, quantity limits, and availability.

Unless expressly stated:

  • Promotions cannot be combined;
  • Promotions do not apply retroactively;
  • Promotions are not transferable or redeemable for cash;
  • A code is valid only if accepted during checkout; and
  • We may cancel a promotion or an order involving fraud, abuse, or a material publishing error.

A “sitewide,” shipping, percentage-off, or limited-time statement applies only as expressly described in the accompanying offer terms.

12. Shipping and Delivery

We ship only to destinations made available during checkout and may restrict destinations at any time for legal, carrier, sanctions, or operational reasons.

Processing and delivery dates are estimates unless we expressly identify a date as guaranteed. We will make shipping representations only when we have a reasonable basis for them.

If we cannot ship within a represented time—or within the period required by applicable law when no time is stated—we will provide any delay notice, consent option, cancellation, or refund required by law.

You are responsible for providing a complete and accurate delivery address and for ensuring that an authorized recipient can accept the shipment.

For verified commercial purchases, title and risk of loss pass upon tender to the carrier unless the order confirmation or applicable law states otherwise. For any transaction subject to nonwaivable consumer protections, risk passes no earlier than applicable law permits.

Carrier tracking is informational and does not change the parties’ legal rights.

13. Inspection, Problems, Returns, and Refunds

Because returned research materials may have unknown handling or storage histories, Products generally may not be returned after shipment except as stated in our Refund and Returns Policy or required by law.

Inspect the shipment promptly upon delivery. Claims involving an incorrect item, visible damage, tampering, missing contents, or material nonconformity must be reported within the period stated in the Refund and Returns Policy.

A claim should include:

  • The order number;
  • Clear photographs of the shipping package, label, packaging, and affected item;
  • A description of the problem; and
  • Any additional information reasonably needed to investigate.

Do not return a Product without written return authorization and handling instructions.

For a validated claim, the available remedy may be replacement, refund, or another remedy required by law. Refunds are issued to the original payment method. Financial institutions may require additional time to post a completed refund.

Nothing in these Terms eliminates a warranty, refund, or consumer right that cannot lawfully be waived.

14. Handling, Storage, and Disposal

After delivery, Products must remain under the control of trained personnel in a secure, suitable research environment.

You are responsible for determining appropriate storage, containment, handling, personal protective equipment, spill response, and disposal procedures based on the Product, available documentation, and applicable law.

You must not remove, obscure, falsify, or replace a Product label, lot identifier, warning, or tracking record.

If we issue a hold, withdrawal, recall, or safety communication, you must promptly stop affected activity, secure the Product, and follow the instructions provided.

15. Accounts and Security

An account may be offered but is not necessarily required for every purchase.

If you create an account, you must provide accurate information, protect your credentials, and promptly notify us of suspected unauthorized activity. You are responsible for activity occurring through your account unless applicable law provides otherwise.

We may require credential resets, suspend access, or close an account to protect the Site, investigate misuse, or enforce these Terms.

16. Resale, Wholesale, Export, and Diversion

Products may not be resold, repackaged, relabeled, advertised, transferred, or distributed without our prior written approval.

Approved wholesale activity is subject to separate Wholesale Terms and qualification requirements. Approval for one transaction does not authorize other resale or distribution.

You may not export, reexport, transfer, or route Products:

  • To a sanctioned or prohibited person, entity, destination, or end user;
  • For a restricted or prohibited end use;
  • In violation of United States or foreign trade laws; or
  • To conceal the purchaser, recipient, destination, or intended use.

We may conduct sanctions and end-use screening, request supporting documentation, refuse a transaction, and make disclosures required by law.

17. Reviews, User Content, and Affiliates

Reviews and other content must reflect the genuine experience and honest opinion of the person submitting them.

You may not submit content that:

  • Describes or promotes human or animal administration;
  • Provides dosing, injection, compounding, clinical, or therapeutic instructions;
  • Makes unsupported health, body-function, safety, efficacy, purity, sterility, or regulatory claims;
  • Misrepresents your identity, experience, qualifications, or relationship with Medvinci;
  • Is fake, deceptive, unlawful, infringing, or confidential; or
  • Fails to disclose a material connection, incentive, employment, affiliate relationship, or other fact that could affect how readers evaluate the content.

An incentive may not be conditioned on a positive review or particular sentiment.

You retain ownership of your content. By submitting it, you grant us a nonexclusive, worldwide, royalty-free license to host, reproduce, display, and use it for operating and promoting the Site, subject to applicable law and our Privacy Policy.

We may moderate content using neutral criteria such as relevance, authenticity, prohibited-use content, unlawful claims, privacy, abuse, or these Terms. We will not suppress an otherwise lawful and authentic review merely because it is negative.

Affiliates, creators, and endorsers must follow a separate written agreement, use only authorized and substantiated statements, and clearly disclose their relationship with Medvinci.

18. Intellectual Property and Acceptable Use

Medvinci’s trademarks, logos, original site design, original photographs, and original written content are owned by Medvinci or its licensors. Third-party scientific, governmental, laboratory, or database content remains the property of its respective owner.

We grant you a limited, revocable, nonexclusive license to access the Site and download purchase or lot documentation for your internal, permitted research and recordkeeping.

You may not:

  • Copy or use our branding to imply endorsement or affiliation;
  • Reproduce or commercially exploit Site content without permission;
  • Remove proprietary notices;
  • Circumvent Site security;
  • Introduce malware or interfere with Site operation;
  • Scrape or harvest data in a manner that burdens the Site or violates law;
  • Access nonpublic systems or accounts;
  • Impersonate another person or organization; or
  • Use the Site to facilitate fraud, unlawful sales, diversion, or prohibited Product use.

19. External Services and Links

The Site may link to or rely upon external laboratories, payment processors, carriers, review platforms, social platforms, databases, and other services.

A link does not mean that Medvinci controls, endorses, or guarantees the external service or its content. External services may have separate terms and privacy notices.

Nothing in this section limits responsibility that applicable law places on Medvinci for its own statements, selections, or conduct.

20. Privacy and Communications

Our Privacy Policy describes our collection, use, disclosure, and retention of personal information. It is a notice, not a waiver of privacy rights.

Do not send patient records, diagnoses, treatment histories, genetic data, or other personal medical information through the Site or customer-support channels.

Transactional emails concerning accounts, security, purchases, shipping, or policy notices may be sent when reasonably necessary.

If you separately opt in to marketing email or SMS:

  • Consent is not a condition of purchase;
  • Message frequency may vary;
  • Message and data rates may apply;
  • You may reply STOP to end SMS messages;
  • You may reply HELP for assistance; and
  • You may unsubscribe from marketing email using the link provided.

Marketing opt-out does not prevent necessary transactional communications.

21. Suspension and Termination

We may suspend or terminate access, cancel unaccepted orders, or restrict future purchases when we reasonably believe you have violated these Terms, supplied false information, created legal or security risk, or indicated a prohibited intended use.

Termination does not affect payment obligations, accrued rights, or provisions that by their nature should survive, including research-use restrictions, intellectual property, warranty disclaimers, limitations of liability, indemnification, and dispute provisions.

22. Limited Remedy and Warranty Disclaimer

For a validated incorrect, damaged, or materially nonconforming shipment, we will provide the remedy stated in the Refund and Returns Policy or required by law.

Except for an express written specification or remedy that cannot lawfully be disclaimed, the Site, content, and Products are provided “AS IS” and “AS AVAILABLE.”

To the maximum extent permitted by law, Medvinci disclaims implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing or usage of trade.

We do not warrant that:

  • The Site will always be uninterrupted or error-free;
  • A Product is suitable for your research;
  • Every Product or lot has a published certificate;
  • A certificate establishes attributes not expressly reported;
  • A Product is sterile, safe, effective, or suitable for administration; or
  • Site content is free from every error.

Some jurisdictions do not permit certain exclusions. In those jurisdictions, these exclusions apply only to the maximum lawful extent.

23. Limitation of Liability

To the maximum extent permitted by law, Medvinci and its officers, employees, agents, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost data, lost research, business interruption, or substitute-product costs arising from the Site, an order, or a Product.

To the maximum extent permitted by law, Medvinci’s aggregate liability arising from an affected order will not exceed the amount paid to Medvinci for that order.

These limitations do not apply to liability that cannot legally be limited, including liability arising from fraud, willful misconduct, gross negligence, or other nonwaivable statutory rights where applicable.

24. Commercial Purchaser Indemnification

If you purchase or use Products in a commercial or professional capacity, you agree to defend, indemnify, and hold harmless Medvinci and its officers, employees, and agents from third-party claims, losses, penalties, liabilities, and reasonable expenses arising from:

  • Your prohibited, unlawful, negligent, or willful use, handling, storage, transfer, resale, or disposal of a Product;
  • Your breach of these Terms;
  • False eligibility, end-use, or purchaser information;
  • Your user content or marketing claims; or
  • Your violation of another party’s rights.

This obligation does not apply to the extent a claim was caused by Medvinci’s fraud, willful misconduct, gross negligence, or another liability that cannot lawfully be shifted.

25. Governing Law and Disputes

These Terms are governed by Wyoming law, without regard to conflict-of-law principles, except that mandatory protections of another jurisdiction remain applicable where they cannot be waived.

Before filing a lawsuit, the parties will attempt in good faith for 30 days to resolve the dispute. A dispute notice should identify the purchaser, order if applicable, relevant facts, requested resolution, and contact information.

Subject to nonwaivable rights, disputes will be brought in the state courts located in Sheridan County, Wyoming, or the United States District Court for the District of Wyoming. Each party consents to those courts’ jurisdiction where legally permitted.

Either party may use an eligible small-claims court. Either party may also seek immediate relief concerning intellectual property, fraud, misuse, security, diversion, or an imminent legal or safety risk.

26. Changes to These Terms

We may update these Terms prospectively by posting a revised version and changing the Effective Date.

Material changes will be communicated through the Site, email, checkout, or another reasonable method. Revised Terms do not retroactively change an accepted order or existing dispute unless both parties agree or applicable law requires otherwise.

The version accepted when an order is submitted governs that order.

27. General Provisions

These Terms, the applicable order confirmation, and incorporated policies constitute the agreement concerning the Site and ordinary retail orders. A signed order-specific or wholesale agreement controls only for the transaction it covers.

If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.

Failure to enforce a provision is not a waiver. A waiver must be in writing and signed by an authorized Medvinci representative.

You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, financing, reorganization, or transfer of the relevant business, subject to applicable law.

We are not responsible for delay caused by events beyond reasonable control, but this provision does not eliminate legally required delay notices, cancellation rights, or refunds.

Headings are for convenience only. Electronic acceptance, records, and communications may be used to the extent permitted by law.
